Direct Seller Agreement

Direct Seller Agreement Effective Date: 01 Jan 2026 This Direct Seller Agreement ("Agreement") is entered into between Lakhsman Wellness Pvt. Ltd. ("Company") and the individual registering as an Independent Direct Seller ("Direct Seller"). By submitting an application and accepting this Agreement, the Direct Seller agrees to comply with all the terms and conditions stated herein. 1. Appointment The Company appoints the applicant as an Independent Direct Seller to promote and sell the Company's products in accordance with applicable laws, Company policies, and this Agreement. Acceptance as a Direct Seller does not create an employer-employee, partnership, franchise, agency, or joint venture relationship. 2. Eligibility The Direct Seller confirms that: Is at least 18 years of age. Is legally competent to enter into a contract. Has provided accurate KYC and registration details. Will comply with all applicable laws and Company policies. 3. Independent Status The Direct Seller is an independent business participant and shall: Conduct business independently. Bear personal business expenses. Not represent themselves as an employee or authorized legal representative of the Company. Not bind the Company to any contract or obligation. 4. Responsibilities of Direct Seller The Direct Seller agrees to: Promote products honestly and ethically. Provide accurate product information. Maintain professional conduct. Respect customer privacy. Follow the Company's Code of Ethics. Comply with all applicable laws and regulations. Avoid misleading advertisements or false income claims. 5. Prohibited Activities The Direct Seller shall not: Make false or misleading product claims. Guarantee fixed or assured income. Force any person to purchase products. Collect unauthorized payments. Modify Company documents or marketing materials. Engage in fraudulent, illegal, or unethical activities. Misuse the Company's trademarks, logos, or intellectual property. 6. Orders and Sales Products must be purchased only through authorized Company channels. Prices shall be those determined by the Company. Orders are subject to acceptance by the Company. Product availability may vary. 7. Commissions and Incentives The Direct Seller may receive commissions, bonuses, or incentives strictly according to the Company's official Compensation Plan. Payments are subject to: Successful order completion. Compliance with Company policies. Applicable tax deductions. Verification of transactions. The Company reserves the right to withhold or recover payments obtained through fraudulent or non-compliant activities. 8. Returns and Refunds Returns, replacements, refunds, and buyback (where applicable) shall be governed by the Company's Return & Buyback Policy. 9. Confidentiality The Direct Seller shall keep confidential all Company information including: Business strategies Customer information Pricing Marketing plans Training materials Software and digital systems Confidential information shall not be disclosed without written permission. 10. Intellectual Property All trademarks, logos, product names, designs, websites, software, and marketing materials remain the exclusive property of Lakhsman Wellness Pvt. Ltd. No rights are transferred through this Agreement. 11. Compliance The Direct Seller agrees to comply with: Consumer Protection laws. Consumer Protection (Direct Selling) Rules, 2021. Applicable GST and tax regulations. Information Technology laws. Company Policies and Procedures. 12. Suspension or Termination The Company may suspend or terminate the Direct Seller account if: False information is submitted. Fraudulent activity is detected. Company policies are violated. Illegal or unethical conduct occurs. Any applicable law is violated. Upon termination, unpaid incentives may be withheld where legally permitted and in accordance with Company policies. 13. Voluntary Resignation The Direct Seller may resign at any time by submitting a written request through the prescribed Company process. 14. Limitation of Liability The Company shall not be liable for indirect, incidental, special, or consequential damages arising from participation as a Direct Seller, except as required under applicable law. 15. Amendments The Company may revise this Agreement, policies, or procedures from time to time. Updated versions will become effective upon publication on the Company's official website or communication through official channels. 16. Governing Law This Agreement shall be governed by the laws of India. Any disputes arising under this Agreement shall be subject to the jurisdiction of the competent courts where the Company's registered office is located, unless otherwise required by applicable law. 17. Acceptance By registering as a Direct Seller, the applicant confirms that they: Have read and understood this Agreement. Agree to comply with all Company policies. Agree to conduct business ethically and legally. Accept all terms and conditions of this Agreement. Declaration I hereby declare that the information provided during registration is true and correct. I agree to abide by the Direct Seller Agreement, the Company's Policies and Procedures, the Compensation Plan, the Return & Buyback Policy, the Privacy Policy, and all applicable laws governing direct selling in India. Lakhsman Wellness Pvt. Ltd. reserves the right to interpret, amend, or enforce this Agreement in accordance with applicable laws and its official policies.
